Pursuant to the resolutions passed during the Ordinary and Extraordinary General Assembly meetings held on April 12, 2025, it has been resolved to increase the company’s issued and paid-up capital. The capital will be increased from 20,791,840,110 Egyptian pounds to 28,681,402,630 Egyptian pounds, reflecting an increase of 7,889,562,520 Egyptian pounds. This increase will be financed from the merger proceeds balance as detailed in the financial statements dated December 31, 2024, amounting to 7,889,562,509 Egyptian pounds, supplemented by 11 Egyptian pounds from retained earnings. This capital increase will be distributed as 788,956,252 free shares, each with a nominal value of 10 pounds, to the company’s shareholders.
The distribution of free shares will occur at a rate of 0.3794547514 shares for each existing share held before the capital increase. Shareholders who own or purchase shares by the close of the trading session on Tuesday, July 22, 2025, will be eligible to receive these free shares, which will be distributed starting Wednesday, July 23, 2025. Please note that fractions will be rounded in favor of smaller shareholders, from the smallest to the largest, until the shares are fully distributed. This process will be managed through MCDR – Misr for Central Clearing, Depository and Registry, subsequent to the approval of the new shares’ listing by the Listing Committee.
Should the free share distribution date coincide with an official holiday, distribution will occur on the next business day.
